MyndSet AI is owned and operated by Blackframe AI LLC.

These Terms of Service ("Terms") are a binding agreement between you and Myndset AI ("MyndSet," "we," "us," or "our") governing your access to and use of the MyndSet mobile application, website, and related services (collectively, the "Services").

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must have legal capacity to agree to these Terms.

Minors may use the Services only with the consent and involvement of a parent or legal guardian, where required by applicable law. If you are a parent or guardian, you are responsible for the minor's use of the Services.

By using the Services, you represent and warrant that you meet the eligibility requirements described in these Terms and that your use of the Services does not violate any applicable law or regulation.

2. Accounts

To use certain features, you may need to create an account or sign in through an approved login provider such as Apple or Google.

You agree to:

  • provide accurate information

  • keep your account credentials secure

  • use the Services only for lawful purposes

  • notify us promptly of unauthorized access or suspected security issues

You are responsible for activity occurring under your account to the extent permitted by law.

3. Description Of The Services

MyndSet provides a self-improvement and learning experience that may include:

  • onboarding and self-assessment features

  • course and lesson content

  • tasks, notes, and progress tracking

  • AI-powered assessments, feedback, and chat features

  • subscription-based access to certain premium functionality

We may add, modify, suspend, or discontinue features at any time.

4. AI Features

Certain features of the Services use automated and AI-supported systems to generate outputs, recommendations, assessments, summaries, and conversational responses.

You understand and agree:

  • AI-generated responses may be incomplete, inaccurate, outdated, biased, or inappropriate

  • AI outputs are provided for informational and general self-improvement purposes only

  • you are responsible for how you interpret and use AI outputs

  • you should not rely on AI outputs as a substitute for professional judgment or licensed advice

  • content you submit to AI-powered features may be transmitted to and processed by us and by third-party service providers acting on our behalf to provide those features

We may use third-party service providers to operate our AI-related features.

We may modify, suspend, limit, or discontinue any AI-powered feature at any time, including where necessary to address legal, safety, quality, operational, or provider-related issues.

5. No Medical, Mental Health, Legal, Or Financial Advice

MyndSet is not a medical device and does not provide medical advice, mental health treatment, therapy, diagnosis, legal advice, or financial advice.

Nothing in the Services, including Derek AI, assessments, scores, chat responses, lessons, tasks, or other content, should be treated as:

  • medical advice

  • mental health advice or crisis support

  • legal advice

  • financial advice

  • professional counseling or therapy

If you are experiencing a medical or mental health emergency, contact emergency services or a qualified professional immediately.

The Services are not intended to diagnose, treat, cure, or prevent any disease or medical condition and are not a substitute for professional healthcare, therapy, counseling, legal advice, or financial advice.

6. Acceptable Use

You agree not to:

  • use the Services in violation of any law or regulation

  • infringe or misappropriate the rights of others

  • attempt to gain unauthorized access to systems, accounts, or data

  • interfere with or disrupt the Services

  • reverse engineer, scrape, or misuse the Services except as allowed by law

  • submit harmful, abusive, infringing, fraudulent, or unlawful content

  • use the Services to develop or train competing systems in an unauthorized manner

We may suspend or terminate access for conduct that violates these Terms or harms users, us, or the Services.

7. User Content

You may submit content through the Services, including:

  • onboarding answers

  • chat prompts and messages

  • task notes

  • reflections and other written content

You retain ownership of your content, subject to the rights you grant below.

You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, process, analyze, modify, and display your content as reasonably necessary to:

  • operate the Services

  • provide requested features

  • generate assessments and AI responses

  • maintain safety, security, and reliability

  • improve, train, tune, evaluate, and develop the Services and AI-related features

  • comply with law and enforce these Terms

You represent that you have the necessary rights to submit your content.

You are solely responsible for your content and for the consequences of submitting, sharing, or relying on it.

8. Subscriptions, Billing, And Renewals

Certain features may require a paid subscription.

If you purchase a subscription through Apple, billing and renewals are handled by Apple under its terms and billing policies. Subscription pricing, billing periods, renewal terms, cancellation rules, refund rights, and auto-renewal disclosures may be presented at the point of purchase and may also be governed by Apple’s rules.

Unless canceled in accordance with the applicable platform’s rules, subscriptions may renew automatically.

You are responsible for:

  • reviewing the pricing and billing terms before purchase

  • managing or canceling your subscription through the applicable platform if required

Deleting your MyndSet account does not automatically cancel a subscription billed through Apple. You are responsible for canceling the subscription through the applicable platform if you no longer wish to be billed.

We may change subscription offerings or pricing to the extent permitted by law and platform rules.

To the extent required by applicable law, any material pricing or subscription changes will apply prospectively.

9. Privacy

Your use of the Services is also governed by our Privacy Policy:

By using the Services, you acknowledge that we may collect, use, and share information as described in the Privacy Policy.

10. Third-Party Services

The Services may rely on or integrate with third-party services, including:

  • authentication providers

  • cloud hosting and infrastructure providers

  • analytics providers

  • platform billing and subscription providers

  • AI-related service providers

We are not responsible for third-party services except as required by law. Your use of those services may also be subject to their own terms and policies.

We do not control and are not responsible for delays, outages, errors, data loss, billing issues, or other failures caused by third-party services, except to the extent required by applicable law.

11. Intellectual Property

The Services, including software, visual design, branding, text, graphics, lesson materials, and other content provided by us, are owned by Myndset AI, our licensors, or other rights holders and are protected by applicable intellectual property laws.

Except for limited rights expressly granted in these Terms, no rights are granted to you.

12. Feedback

If you provide feedback, suggestions, ideas, or recommendations about the Services, you grant us the right to use them without restriction or compensation to you, to the extent permitted by law.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We do not guarantee that:

  • the Services will be uninterrupted, secure, or error-free

  • AI outputs will be accurate or suitable for your needs

  • any content or recommendation will produce a specific result

14. Limitation Of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYNDSET AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR

  • USD $100

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Myndset AI and its affiliates, officers, employees, contractors, licensors, and service providers from and against claims, liabilities, damages, losses, and expenses arising out of or related to:

  • your use of the Services

  • your content

  • your violation of these Terms

  • your violation of any law or third-party rights

16. Suspension And Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if:

  • you violate these Terms

  • we believe your use creates risk or harm

  • required by law

  • the Services are discontinued

You may stop using the Services at any time. You may also request deletion of your account in accordance with our Privacy Policy.

Sections of these Terms that by their nature should survive termination will survive, including provisions relating to intellectual property, user content licenses, disclaimers, limitation of liability, indemnity, dispute resolution, and governing law.

17. Account Deletion

If you delete your account, we will delete your account information and associated user data, including chat history and other details associated with your account, except where retention is required or permitted by law for security, fraud prevention, legal compliance, dispute resolution, or recordkeeping.

18. Changes To The Services Or Terms

We may modify the Services or these Terms from time to time. If we make material changes, we may notify you by updating the "Last Updated" date, through the app, by email, or by other appropriate means.

Your continued use of the Services after the updated Terms become effective means you accept the revised Terms, to the extent permitted by law.

19. Governing Law

These Terms are governed by the laws of California, USA, without regard to its conflict of laws principles, except where otherwise required by applicable law.

20. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved in the courts located in San Diego County, California, unless applicable law requires otherwise or you and we agree to another dispute resolution method.

Nothing in these Terms limits any non-waivable consumer rights you may have under applicable law. If you are located in a jurisdiction that grants consumers the right to bring claims in local courts or under local consumer protection law, those rights will apply to the extent required by law.

21. Severability

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect to the extent permitted by law.

22. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms presented to you for specific features, form the entire agreement between you and us regarding the Services, except as otherwise expressly stated.
